Independent GROW Coach Agreement

This is the full text of the Independent GROW Coach Agreement, version 1.0 (August 2026). It is published in full so that anyone considering the licence can read the terms before, not after, a commitment is made. The signed agreement is made between Sole Trader Courses Ltd trading as GROWFormula.org ("GROW") and the Independent GROW Coach ("the Coach").

1. Purpose

This Agreement sets out the terms under which the Coach is certified in the GROW Formula® methodology and licensed to deliver GROW programmes and GROW-based coaching to self-employed health and wellness practitioners in their own name.

2. What GROW will provide

• certification in the GROW Formula® methodology, with certificate and digital badge
• a licence to deliver official GROW programmes and to use GROW within coaching and mentoring
• the coaching programmes, diagnostics, session plans, worksheets and client resources
• a personalised sales platform, lead magnet, and email and booking funnel
• a profile in the GROW Coach directory
• a supported 90-day launch and access to the Independent GROW Coach community
• updated resources, programmes and materials while the licence is current

3. What the Coach will do

• deliver coaching and programmes professionally, lawfully and within the limits of their competence
• keep the core principles and intended learning outcomes of GROW programmes intact
• make no misleading claims about GROW, its programmes, outcomes or certification
• protect client information and comply with applicable data protection requirements
• hold appropriate insurance for the coaching services they deliver
• pay all agreed fees when due

4. Intellectual property and branding

All GROW materials remain the intellectual property of Sole Trader Courses Ltd trading as GROWFormula.org. The Coach receives permission to use them only for delivering GROW programmes and GROW-based coaching. The Coach may not sell GROW materials separately, share them outside their own clients, claim ownership of GROW content, or create standalone products that substantially reproduce GROW content.

The Coach may describe themselves as an Independent GROW Coach and use approved GROW logos and badges in their marketing while this Agreement is in force.

5. Fees

• Licence and launch package: £1,995, payable in full or as 12 monthly payments of £185 (£2,220 in total). The first year's licence is included.
• Annual licence from year two: £395 per year.
• Client pack for the GROW Certification Programme: £150 per client, charged only when a client is enrolled.

The Coach sets their own prices and keeps all income from their own clients. Fees may be reviewed periodically and updated by GROW with reasonable notice.

6. Quality and standards

GROW may request client feedback, investigate complaints, and request corrective action where concerns arise. GROW may suspend the licence while a significant concern is investigated.

7. Ending the agreement

Either party may end this Agreement by giving 30 days' written notice. GROW may end it immediately for non-payment, misuse of materials, misleading claims, unlawful activity, or any serious breach. Fees already paid are not refundable. When the Agreement ends, no new GROW-based programmes may be started, existing clients may be completed, and use of GROW branding must stop once those clients finish.

8. Liability and general terms

GROW is not responsible for the Coach's business decisions, delivery methods, client outcomes or financial performance. Any figures shown in calculators or examples are illustrative, not a forecast or guarantee of earnings. GROW's total liability under this Agreement will not exceed the fees paid by the Coach in the previous 12 months.

This Agreement may be signed electronically, and electronic signatures will be treated in the same way as handwritten signatures. It represents the entire agreement between the parties, and any changes must be agreed in writing. This Agreement is governed by the laws of England and Wales.
