Sign the Business Coach Toolkit and Licence Agreement

This is the full text of the Business Coach Toolkit and Licence Agreement, version 1.1 (September 2026). It is published in full so that anyone considering the licence can read the terms before, not after, a commitment is made. The version you sign is the version that binds both parties. The signed agreement is made between Sole Trader Courses Ltd trading as GROWFormula.org ("GROW") and the coach named in the signature record ("the Coach").

1. Purpose

This Agreement sets out the terms under which the Coach is licensed to use the GROW Practice Review, the GROW Coaching Plan Builder and approved GROW exercises and resources inside their own coaching, consulting and mentoring services for self-employed health and wellness practitioners, under the Coach's own branding with GROW Formula® attribution.

2. What GROW will provide

• access to the GROW Practice Review: a coach-branded questionnaire and an editable, branded client report
• access to the GROW Coaching Plan Builder, producing a client proposal, a coach delivery plan and a client action plan
• a commercial licence to use approved GROW exercises, prompts and activities within the Coach's own engagements, as set out in section 4
• GROW Coach Accreditation (the existing published accreditation) for each named delivering coach, plus an orientation on the practitioner sector and the tools
• continuing access and support: tool access, resource updates, the coach community, email support and a shared monthly group case clinic
• permission to deliver official GROW programmes, with the relevant learner packs purchased separately

3. What the Coach will do

• ensure every person who delivers GROW-based work under this Agreement is named, accredited and covered by the Coach's licence
• review, edit and approve every report, proposal and plan before it is shared with a client; documents are drafts until the Coach approves them
• present reviews honestly: a structured review based on what the client reports, never a validated score, a psychometric result or a financial forecast
• keep private coaching notes and debrief prompts separate from client-facing documents
• protect client information, comply with applicable data protection law, and honour export, correction and deletion requests through the account workflow
• hold appropriate insurance for the coaching services they deliver
• make no misleading claims about GROW, its programmes, outcomes or accreditation
• pay all agreed fees when due

4. Licence scope

While this Agreement is in force and the licence is active, the Coach may:

• offer free or paid branded practice reviews to prospective and existing practitioner clients
• use selected approved GROW exercises and resources inside bespoke one-to-one or group coaching, consulting and mentoring
• assemble their own sequences and durations, and combine GROW components with their own methods
• issue client-specific reports, proposals and plans under their own business branding, with GROW Formula® attribution
• deliver official GROW programmes, maintaining their required learning and assessment standards

The Coach may not:

• sublicense GROW, or accredit other coaches
• sell the resource library or any GROW materials as a standalone product
• publish or distribute tutor materials publicly
• claim ownership of GROW, its content or its methodology
• have unnamed colleagues deliver: every delivering coach is named and accredited

Business coaching experience does not by itself confer GROW accreditation, and completing a bespoke coaching plan does not confer GROW practitioner certification on the Coach's clients.

5. Intellectual property and branding

All GROW materials, the GROW Formula® framework and the tools remain the intellectual property of Sole Trader Courses Ltd trading as GROWFormula.org. The Coach's own original content remains the Coach's. Reports, proposals and plans lead with the Coach's business identity and carry GROW Formula® attribution; the licence does not transfer ownership of GROW content.

6. Fees

• Year 1 — the Toolkit-and-Launch Bundle: £1,495, payable in full or as 12 monthly payments of £135. The bundle includes GROW Coach Accreditation and a two-hour orientation, the branded GROW Practice Review, the Bespoke Coaching Plan Builder, a flexible commercial licence for bespoke GROW-based coaching, tool access, support and the coach community for Year 1, and permission to deliver the official GROW programmes.
• From Year 2 — the Ongoing Licence: £83 per month, cancellable at any time. It covers continued tool access and resource updates, the coach community and monthly group case clinic, and email support.
• The licence is issued to the named coach. There are no usage allowances: while the licence is active the Coach may generate as many reviews, reports and plans as they like, at no additional charge.
• A £150 participant pack fee applies for each client the Coach enrols on the full GROW Certification CPD Programme, charged on enrolment, and a £10 pack fee applies for each client the Coach enrols on the GROW Your Business CPD Course, charged on enrolment. Bespoke review and coaching clients carry no programme fee.

All fees are in pounds sterling. The Coach sets their own prices and keeps all income from their own clients; GROW takes no percentage of the Coach's coaching revenue. There are no undisclosed usage charges. Fees may be reviewed periodically and updated with reasonable notice.

7. Renewal and cancellation

Year 1 is a committed twelve-month term and cannot be cancelled, whether paid in full or by monthly instalments. From the start of Year 2 the licence continues as a monthly ongoing licence, which the Coach may cancel at any time; access continues to the end of the paid month and no further payments are taken. Fees already paid are not refundable. The Coach can export their reports, plans and notes before paid access ends; clients keep documents already issued to them. New licensed delivery and new GROW outputs require an active licence. Tool access begins once the Coach is accredited and their workspace is ready, with sample access during training.

8. Quality and standards

GROW may request client feedback, investigate complaints, and request corrective action where concerns arise. GROW may suspend the licence while a significant concern is investigated.

9. Ending the agreement

Either party may end this Agreement by giving 30 days' written notice. GROW may end it immediately for non-payment, misuse of materials, misleading claims, unlawful activity, or any serious breach. When the Agreement ends, the Coach stops new licensed delivery, completes or exports work in progress as set out in section 7, and stops using GROW branding once current engagements finish.

10. Liability and general terms

GROW is not responsible for the Coach's business decisions, delivery methods, client outcomes or financial performance, and does not guarantee that the tools will win clients or save a measured amount of preparation time. GROW's total liability under this Agreement will not exceed the fees paid by the Coach in the previous 12 months. Nothing in this Agreement limits liability where the law does not allow it to be limited.

The parties are independent businesses. This Agreement does not create an agency, employment relationship, joint venture or exclusive partnership, and confers no exclusive territory. This Agreement may be signed electronically, and electronic signatures will be treated in the same way as handwritten signatures. It represents the entire agreement between the parties, and any changes must be agreed in writing. This Agreement is governed by the laws of England and Wales.
