Sign the Licensed Provider Agreement

This is the full text of the GROW Licensed Provider Agreement, version 1.2 (March 2026). It is published in full so that any organisation considering delivery (and any learner enrolled with a Licensed Provider) can read the terms before, not after, a commitment is made. The signed agreement is made between Sole Trader Courses Ltd trading as GROWFormula.org ("GROW") and the Licensed Provider.

1. Purpose

This Agreement sets out the terms under which the Licensed Provider is authorised to deliver approved GROW programmes and use approved GROW materials and branding.

The purpose of this relationship is to support health and wellness practitioners through practical, evidence-informed business skills training and coaching.

2. Definitions

• GROW Programme means the GROW Your Business course and/or the GROW Certification Programme.
• GROW Materials means all course materials, resources, workbooks, videos, handouts, portal content, branding, methods and other content supplied by GROW.
• GROW Accredited Coach means a tutor who has successfully completed the GROW Coach accreditation process.
• GROW Portal means the online learning and community platform provided by GROW.

3. What GROW will provide

GROW will provide the Licensed Provider with:

• a licence to deliver approved GROW programmes
• onboarding and accreditation for agreed tutors
• access to relevant GROW materials and resources
• GROW Portal access as purchased
• certification processes and practitioner registration where applicable
• reasonable support relating to programme delivery

GROW may update materials from time to time. Use of updated materials is recommended but not required.

4. What the Licensed Provider will do

The Licensed Provider agrees to:

• deliver the programme professionally and in a way that supports participants
• ensure at least one GROW Accredited Coach remains within the organisation at all times
• pause delivery if no GROW Accredited Coach remains in place
• comply with relevant laws and regulations
• pay all agreed fees when due
• maintain appropriate standards of conduct and professionalism
• protect participant information and comply with applicable data protection requirements

The Licensed Provider may adapt examples, activities and delivery style to suit their audience, provided that the core principles and intended learning outcomes remain intact, and that the GROW Guiding Principles that form the GROW Formula® are covered within the programme being delivered.

The Licensed Provider owns and manages its own relationship with students and participants, including administration, refunds and complaints.

5. Intellectual property and branding

All GROW Materials remain the intellectual property of Sole Trader Courses Ltd trading as GROWFormula.org. The Licensed Provider receives permission to use GROW Materials only for the purposes of delivering approved GROW programmes.

The Licensed Provider may not:

• sell GROW Materials separately
• share GROW Materials outside authorised participants and tutors
• claim ownership of GROW content, methods or frameworks
• create standalone products that substantially reproduce GROW content

The Licensed Provider may describe itself as a GROW Licensed Provider. Tutors who successfully complete accreditation may describe themselves as a GROW Accredited Coach. Approved logos and badges may be used in marketing.

6. Fees and renewal

The Licensed Provider agrees to pay all fees set out by GROW, including any applicable:

• package fees
• annual licence fees
• tutor accreditation fees
• student access fees
• programme fees

This Agreement renews automatically each year unless ended by either party in accordance with Section 8. Fees may be reviewed periodically and updated by GROW with reasonable notice.

7. Quality and standards

To protect programme quality and participant experience, GROW may:

• request participant feedback
• investigate complaints
• observe programme delivery where reasonable
• request corrective action where concerns arise
• suspend programme delivery while significant concerns are investigated

The Licensed Provider agrees not to make misleading claims regarding GROW programmes, outcomes, accreditation or certification.

8. Ending the agreement

Either party may end this Agreement by giving 30 days' written notice. GROW may end this Agreement immediately where there is:

• non-payment of fees
• misuse or unauthorised sharing of materials
• misleading claims
• unlawful activity
• behaviour likely to damage the reputation of GROW
• any serious breach of this Agreement

If this Agreement ends:

• no new GROW programmes or cohorts may be started
• existing enrolled cohorts may be completed
• use of GROW branding and marketing materials must stop once delivery of existing cohorts ends
• archive copies of materials may be retained only where reasonably required for record-keeping or legal obligations

9. Liability and general terms

GROW is not responsible for the Licensed Provider's business decisions, delivery methods, participant outcomes or financial performance.

GROW's total liability under this Agreement will not exceed the total fees paid by the Licensed Provider under this Agreement during the previous 12 months.

This Agreement may be signed electronically, and electronic signatures will be treated the same as handwritten signatures. It represents the entire agreement between both parties, and any changes must be agreed in writing. This Agreement is governed by the laws of England and Wales.
